Terms & Conditions

These Terms & Conditions (“Terms”) set out the agreement between you (“Customer”) and Core Theorem Ireland Ltd (“we,” “us,” “our”) regarding the use of our services and platform.

​

By using our services, you agree to be bound by these Terms. If you do not agree, you should not use our services.

1. Services

We provide business analysis, strategic recommendations, and AI-assisted insights (“Services”) to support decision-making and improve business outcomes.

​

2. Customer Responsibilities

  • You are responsible for providing accurate and up-to-date information.

  • You must ensure you have the legal right to share any data with us.

  • You will not use our services for unlawful purposes.

​

3. Payment Terms

3.1 Fees & Invoicing
All fees are quoted in GBP unless otherwise stated and are exclusive of VAT or other applicable taxes.

3.2 Payment in Advance
Unless otherwise agreed in writing, all services are payable in full before work commences.

3.3 Late or Non-Payment
If payment is not received by the due date:

  • We may suspend or terminate services without further notice.

  • We may charge interest on overdue amounts at the statutory rate until payment is made in full.

  • You will be responsible for any reasonable costs incurred by us in recovering overdue amounts, including legal fees.

3.4 Alternative Arrangements
We may, at our sole discretion, agree to alternative payment schedules or methods. Any such arrangements must be agreed in writing.

3.5 Refunds
We do not offer refunds for services once commenced.

3.6 ROI Guarantee
We guarantee that our 30-day Sprint package will identify and deliver actions with the potential to achieve at least a five-times (5x) return on your investment in one or more of the following areas:

  • Revenue Growth — measurable increase in sales or contracts.

  • Cost Reduction — elimination or reduction of avoidable expenses.

  • Margin Improvement — increased profit per sale through pricing or efficiency.

  • Operational Efficiency — the capacity to handle more business without proportional cost increases.

  • Cash Flow Gains — faster receivables or improved working capital position.

The guarantee relates to the value of opportunities identified and achievable through the execution of our recommendations. It does not imply a refund, nor does it cover results outside our control (including market conditions, client implementation delays, or operational changes outside our scope).

4. Intellectual Property

  • All intellectual property in the platform, algorithms, analytics, models, and methods is owned by Core Theorem Ireland Ltd.

  • You retain full ownership of your data. No license is given or implied.

5. Data Handling

5.1 Processing & Storage
Customer business data is processed and stored within the Google Cloud ecosystem, including but not limited to Google BigQuery, Firebase, and Firestore.

5.2 Security
All data is encrypted in transit and at rest, and stored in secure, access-controlled environments.

5.3 Isolation
Customer data is siloed and logically separated to prevent unauthorised access.

5.4 AI & ML Processing
We may use machine learning and AI agents to process and analyse data for the purpose of delivering the services outlined in this agreement.

5.5 Anonymised Data Retention
We may retain and use aggregated or anonymised business data indefinitely for statistical analysis, research, product development, and AI training. This data cannot be used to identify you or your business.

6. Limitation of Liability

We will not be liable for indirect, incidental, or consequential losses arising from the use of our services, except where required by law.

7. Cancellation of Services

7.1 Subscriptions
You may cancel your subscription at any time by providing written notice. Your subscription will remain active until the end of the current billing period, after which it will not renew. No partial refunds or credits will be issued for unused portions of a billing cycle.

7.2 Sprint Packages
Sprint packages are fixed-term engagements. Once the Sprint has commenced, cancellation will not entitle you to a refund. If you cancel before the scheduled start date, any payments made will be non-refundable unless otherwise agreed in writing.

8. Governing Law

These Terms are governed by the laws of Ireland and subject to the exclusive jurisdiction of the Irish courts.
